The Corporate and Commercial team at Wilson Browne Solicitors has recently advised a departing majority shareholder in an MBO (management buyout) transaction relating to a group of companies operating in the manufacture and supply of mechanical handling systems and associated equipment for an undisclosed sum.
The MBO process is a complex form of acquisition whereby the existing management team (often termed as “The MBO team”) acquire all or part of the company that they manage. This is often done through a process of company restructuring to provide the appropriate corporate structure and available funds that allow the MBO team to acquire the company.
In addition to the corporate aspects of the transaction, the advice given also involved the extraction of commercial property together with the provision of various employment related documentation.
The team at Wilson Browne also worked closely with the accountants, pension trustees, and other advisors to the shareholders concerned to ensure that the transaction was completed smoothly and in the most tax-efficient manner.
